These Terms of Service ("Terms") govern your use of VIDing.AI, an AI-powered video compression platform operated by AI Venture Holdings LLC ("we," "us," or "VIDing.AI"). By accessing or using our services, you agree to be bound by these Terms.

1. Service Description

VIDing.AI provides an AI-powered video compression platform that uses patented selective encoding technology to reduce video file sizes while preserving visual quality. Our services include video upload, compression processing, analytics, and API access.

2. Account Responsibilities

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately of any unauthorized use of your account.
• You are responsible for all activity that occurs under your account.

3. Acceptable Use

You agree not to:

• Upload, process, or transmit any content that is illegal, harmful, or infringes on the rights of others.
• Attempt to reverse engineer, decompile, or disassemble any part of the VIDing.AI platform or its underlying technology.
• Exceed the rate limits or usage quotas associated with your subscription tier.
• Use the service to develop a competing product or service.
• Interfere with or disrupt the integrity or performance of the service.
• Share your account credentials or API keys with unauthorized parties.

4. Intellectual Property

VIDing.AI retains all intellectual property rights in the platform, including our patented selective encoding technology (U.S. Patent Applications 19/357,125 and 63/901,657), software, algorithms, and documentation.

You retain full ownership of the video content you upload. We claim no intellectual property rights over your uploaded content. Processing your content through our platform does not transfer any ownership rights.

5. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance windows will be communicated in advance when possible. Service level agreements (SLAs) are provided per your subscription tier as outlined on our pricing page.

6. Limitation of Liability

To the maximum extent permitted by applicable law, VIDing.AI and AI Venture Holdings LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the service.

Our total aggregate liability for any claims arising from or related to the service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

7. Termination

Either party may terminate this agreement with 30 days written notice. We reserve the right to suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to access the service ceases and we will delete your data in accordance with our Privacy Policy.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Salt Lake County, Utah.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
